Welcome to DirtQuote. These Terms of Service (“Terms”) govern your access to and use of the DirtQuote website, software, estimating tools, marketplace features, and related services (collectively, the “Service”). By accessing or using DirtQuote, you agree to these Terms. If you do not agree, do not use the Service.
DirtQuote provides software and online tools intended to assist contractors, construction professionals, property owners, and other users with estimating, quantity calculations, material calculations, hauling calculations, pricing, project organization, and related activities. DirtQuote may also provide marketplace features that allow contractors and customers to discover one another, post project opportunities, submit information, communicate, or otherwise interact. DirtQuote is a software and technology platform and is not a general contractor, subcontractor, engineer, architect, surveyor, material supplier, trucking company, or construction professional.
DirtQuote calculations are estimates provided for informational and planning purposes. Actual quantities, material requirements, costs, production rates, trucking requirements, labor requirements, site conditions, measurements, grades, elevations, waste factors, and project costs may differ from calculations produced by the Service. You are responsible for independently verifying information before relying upon it for purchasing materials, performing construction work, submitting a bid, entering into a contract, or making financial decisions. DirtQuote does not guarantee that an estimate will be accurate, complete, profitable, or suitable for any particular project.
You are responsible for the accuracy of information you enter; verifying measurements, dimensions, elevations, quantities, prices, and project conditions; confirming current material and hauling prices; applying appropriate waste factors and contingencies; complying with applicable laws, codes, permits, and licensing requirements; reviewing estimates before providing them to customers; and all contracts or transactions you enter into with other parties.
DirtQuote does not employ or supervise contractors listed on the Service. Any agreement, bid, estimate, contract, payment, dispute, warranty, representation, or other transaction between a contractor and customer is solely between those parties unless DirtQuote expressly states otherwise in writing. DirtQuote does not guarantee the licensing, insurance, qualifications, workmanship, availability, pricing, reliability, or performance of any contractor. Users should independently verify contractor licensing, insurance, references, qualifications, and other information.
Users may provide project descriptions, photos, contact information, business information, estimates, reviews, bids, and other content. You represent that you have the right to provide content you submit and that your content does not knowingly violate applicable law or another person’s rights. DirtQuote may remove content that violates these Terms, applicable law, or platform rules.
If DirtQuote requires an account for a feature, you are responsible for maintaining the confidentiality of your login credentials and for activity occurring through your account. You agree to provide accurate information and update it when necessary.
Certain DirtQuote features may require payment or a subscription. Prices, billing intervals, trial periods, limits, and included features will be disclosed at purchase or subscription. Unless otherwise stated, subscriptions automatically renew for the applicable billing period until cancelled. DirtQuote may change pricing or subscription features with reasonable notice as required by applicable law.
You may not use DirtQuote for unlawful purposes; attempt unauthorized access; interfere with the Service or its security; introduce malicious code; scrape or systematically reproduce substantial portions of the Service except where permitted by law; misrepresent yourself; submit fraudulent bids, estimates, reviews, or listings; or use the Service to harass, threaten, defraud, or deceive another person.
DirtQuote and its software, design, branding, content, functionality, and underlying technology are protected by applicable intellectual-property laws. Except for content you own and submit to the Service, DirtQuote retains all rights in the Service.
You retain ownership of content you submit to DirtQuote. By submitting content, you grant DirtQuote a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, and use that content as reasonably necessary to operate, maintain, improve, and provide the Service. DirtQuote may use aggregated or de-identified information for analytics, service improvement, and business purposes where permitted by law.
DirtQuote may rely on third-party services for hosting, payments, analytics, authentication, communications, mapping, storage, or other functionality. Third-party services may have their own terms and privacy policies. DirtQuote is not responsible for the independent acts or omissions of third-party service providers.
We may modify, suspend, or discontinue portions of the Service from time to time. We do not guarantee that the Service will always be available, uninterrupted, error-free, or secure.
To the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis. DirtQuote disclaims warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, non-infringement, and availability.
To the maximum extent permitted by applicable law, DirtQuote and its owners, officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the Service. This includes losses arising from inaccurate estimates, incorrect quantities, incorrect pricing, construction work, project delays, lost profits, lost revenue, material purchases, labor costs, customer disputes, or reliance on information generated by the Service. To the maximum extent permitted by law, DirtQuote’s total liability arising from or related to the Service will not exceed the amount you paid to DirtQuote for the Service during the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot legally be excluded.
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless DirtQuote and its owners, officers, employees, contractors, affiliates, and service providers from claims, damages, liabilities, losses, costs, and expenses arising from your unlawful use of the Service, violation of these Terms, violation of another person’s rights, or content you submit to the Service.
DirtQuote may suspend or terminate access if you violate these Terms, misuse the Service, engage in fraudulent activity, or create a risk to DirtQuote or other users. You may stop using the Service at any time. Provisions that by their nature should survive termination will survive, including intellectual-property provisions, disclaimers, limitations of liability, indemnification, and dispute provisions.
These Terms will be governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except where applicable law requires otherwise.
We may update these Terms from time to time. Updated Terms will be posted on the Service with a revised effective date. Continued use after an update becomes effective constitutes acceptance to the extent permitted by law.
Questions regarding these Terms may be directed through the contact information provided on the DirtQuote website.
